Deadline is Approaching for Pennsylvania’s Annual Report Requirement

Recently, the Pennsylvania Department of State flipped the script on business compliance by replacing the old 10-year “decennial” filing system with a mandatory Annual Report.

As we all adjust to this new requirement, the state is sending out its 2026 reminders. If you own or manage an LLC in PA, this is your friendly reminder that the training wheels are coming off soon, and keeping your business in compliance requires a quick yearly check-in.

Who Needs to File?

The annual report requirement applies to nearly all domestic and foreign business entities registered in Pennsylvania:

  • Business Corporations (For-Profit)
  • Nonprofit Corporations
  • Limited Liability Companies (LLCs)
  • Limited Partnerships (LPs) & LLPs
  • Professional Associations & Business Trusts

(Note: Fictitious names and standard general partnerships are exempt).

Important 2026 Deadlines & Fees

Unlike some states that base deadlines on the anniversary of your business formation, Pennsylvania uses fixed dates based strictly on your entity type.

  • Corporations (Business & Nonprofit): June 30 – $7 (Nonprofits: $0)
  • Limited Liability Companies (LLCs): September 30 – $7
  • All Others (LPs, LLPs, Trusts): December 31 – $7

Missed Your 2025 Filing? Here is the Good News

If you forgot or missed the deadline in Year 1 (2025), don’t panic, and don’t try to file retroactively.

The Department of State has updated its systems to align strictly with the current filing cycle. There is no way to retroactively submit a 2025 report online. Pennsylvania is operating under a  transition grace period. While your business might be listed as “delinquent” for missing last year, no immediate penalties or administrative dissolutions will occur during the 2026 filing year.

However, the countdown has begun. Full enforcement—meaning the state will legally dissolve your business or cancel your registration for non-compliance—begins with the 2027 reports. Filing correctly this year ensures your business remains protected and clear heading into the enforcement window.

What Information is Required?

The form is incredibly simple and takes just a few minutes. It does not ask for financial statements or tax information. It is strictly used to keep the state’s status list active. You just need to verify:

  • Official business name 
  • Registered office address
  • Principal office address
  • The name of at least one “governor” (an officer, director, owner, or managing member)

How to File Your 2026 Report

The state strongly recommends filing online for instant, same-day approval.

Look for Your Notice: Postcard or Email.

The Bureau sends notices out roughly two months before your deadline. If you filed online last year, check your email. Otherwise, keep an eye out for a postcard at your registered business address. (Remember: Failing to receive a notice doesn’t excuse you from the deadline!)

Search Your Business: No PIN required.

Go directly to the state’s portal at file.dos.pa.gov and search for your company name under “Business Search.”

Click the Annual Report Icon: Verify Details.

Click the “File Annual Report” icon next to your entity. The online system will automatically pre-populate the details the state has on file. Simply confirm or update the information.

Pay and Download: Instant processing.

Pay the $7 fee via credit card (nonprofits will show a $0 balance) and submit. Your approved report will be available in your account queue within minutes.

Protect Your Brand Name

Failing to build this into your yearly routine carries a major hidden risk. When full enforcement hits in 2027, any entity dissolved for missing its reports instantly loses the legal protection of its business name. If your registration is cancelled, your company name becomes up for grabs, and a competitor can legally claim it.
